OtterBox Minimum Advertised Price (MAP) Policy (U.S. and Canada Only)
Otter Products, LLC, a Colorado limited liability company and home to the OtterBox® brand (“Company”), has adopted the following Minimum Advertised Price Policy (“MAP Policy”) for all Company products, except as otherwise designated by Company in writing or posted on its website (“Covered Products”). This MAP Policy applies only to products manufactured by Company.
The purpose of this MAP Policy is to maintain the premium image and value of Covered Products and the trademarks, brands, and trade names under which they are sold. Company intends to sell Covered Products only to authorized distributors, dealers, and resellers (each, a “Seller”).
Company may enforce this MAP Policy through actions up to and including withdrawal of a Seller’s authorization to sell Covered Products if a Seller advertises any Covered Product below the Minimum Advertised Price (“MAP”) as outlined below.
- MAP Determination.
- The MAP for each Covered Product will be listed on the current Company price list, updated by Company from time to time.
- If no MAP is published for a Covered Product, Sellers may advertise that product at a price no lower than the Manufacturer’s Suggested Retail Price (“MSRP”) minus $5.00.
- Current price lists may be obtained by contacting a Company sales representative.
- Company Sales, Marketing, and other personnel are not authorized to modify or grant exceptions to this MAP Policy.
- MAPs may be amended or suspended periodically for approved national, regional, or seasonal promotions, which may be obtained by contacting a Company sales representative.
- Scope of Policy.
- This MAP Policy applies to all forms of advertising, including, but not limited to, the following:
- Print and electronic media
- Direct mail
- Audio and video communications

- This MAP Policy applies to all forms of advertising, including, but not limited to, the following:
- MAP Compliance. Advertising any Covered Product below its specified MAP is a violation of this MAP Policy.
- Example: If a Covered Product has an MSRP of $39.99 and no MAP is published, the allowable advertised price is $34.99 (MSRP minus $5.00). Advertising below this price violates this MAP Policy unless Company has issued an approved MAP amendment.
- Product Bundles. Advertising two or more Covered Products together ("Product Bundle") at a price below the combined MAPs for each Covered Product is a violation of this MAP Policy. Company reserves the right to issue MAP Policy modifications that apply specifically to Product Bundles. Examples of applicable bundling scenarios are provided in the MAP Policy FAQs found here.
- Mixed Advertisements. Advertisements featuring a Covered Product with either (a) another brand’s product or (b) a Company product not covered by this MAP Policy comply only if the Covered Product’s individual advertised price cannot be determined. Examples of applicable advertising scenarios are provided in the MAP Policy FAQs found here.
- Actual Sale Price. This MAP Policy applies only to advertised prices, not actual resale prices. Sellers are free to sell Covered Products at any price they choose. Company does not seek or accept agreement from any Seller regarding actual resale prices.
- Policy Changes. Company reserves the right to modify, suspend, or cancel this MAP Policy or any MAPs at any time. Changes may be obtained by contacting a Company sales representative or by visiting the Company website. Sellers are responsible for monitoring updates.
- Affiliate Locations. If a Seller with multiple affiliate locations violates this MAP Policy at any location or associated website, the violation will be attributed to the Seller.
- Enforcement.
- Violations of this MAP Policy may result in unilateral sanctions imposed by Company, including but not limited to:
- Written notice of non-compliance and a specified timeframe to comply commencing from the date of receipt of the notice from Company.
- Suspension of all, or some go-to-market investments (e.g., volume incentives, promotional support, product training) for a defined period (e.g., 30, 45, or 90 days).
- Cancellation of pending orders and suspension of purchasing rights for a defined period (e.g., 30, 45, 90 days, or longer as Company determines appropriate).
- Termination of the Distributor/Reseller Agreement or other relevant agreement between Company and a Seller for violation of this MAP Policy by such counterparty, or any other party in the distribution network, governed by such Distributor/Reseller Agreement.
- Company will make all compliance and enforcement decisions unilaterally. This MAP Policy is a unilateral declaration of policy and does not constitute an agreement between Company and any Seller or other party. By issuing this MAP Policy, Company is not requesting or requiring any agreement to adhere to this MAP Policy.
